TERMS OF SERVICE

Welcome to SilvaChar. These Terms of Service (“Terms”) govern your use of shop.silvachar.ca (the “Site”) and any purchases made through the Site.

The Site is operated by SilvaChar Environmental Inc., referred to in these Terms as “SilvaChar,” “we,” “us,” or “our.”

By accessing our Site or purchasing a product from us, you agree to these Terms. Please read them carefully before using the Site or placing an order.

1. ONLINE STORE TERMS

By using this Site, you confirm that you are at least the age of majority in your province, territory, state, or country of residence, or that you have permission from your parent or legal guardian where required.

You may not use our products or services for any unlawful or unauthorized purpose.

You may not attempt to interfere with, damage, disrupt, gain unauthorized access to, or misuse the Site or any related systems.

2. PRODUCT INFORMATION

We make reasonable efforts to ensure that product descriptions, photographs, prices, application instructions, sizes, specifications, and other information displayed on our Site are accurate.

However, natural products such as biochar may vary slightly in appearance, texture, particle size, moisture content, colour, or other physical characteristics from product photographs or descriptions.

Product images are provided for illustrative purposes and may not perfectly represent the product received.

We reserve the right to correct errors, inaccuracies, or omissions and to update product information when necessary.

3. BIOCHAR USE AND PRODUCT RESULTS

SilvaChar biochar is produced from forest wood waste and is intended for uses described in our product information and application instructions.

Customers are responsible for following the application, charging, mixing, storage, and safety instructions provided with the product or published on our websites.

Soil conditions, climate, plant species, fertilizer practices, application rates, irrigation, environmental conditions, and other factors may affect product performance. For this reason, results may vary between applications and locations.

Recommendations provided by SilvaChar are general guidelines unless otherwise specifically stated.

SilvaChar does not guarantee specific plant growth, crop yield, soil performance, lawn improvement, composting results, or other agricultural or horticultural outcomes.

4. PRICES

Unless otherwise indicated, prices displayed on shop.silvachar.ca are in Canadian dollars (CAD).

Applicable taxes, shipping charges, and other applicable costs will be disclosed during checkout before the order is completed.

We reserve the right to change product prices at any time without prior notice. Price changes will not affect orders that have already been accepted by us.

Promotional pricing, discounts, coupons, and special offers may be subject to additional conditions, including eligibility requirements and expiry dates.

5. ORDERS

Before completing an order, customers will have an opportunity to review their selected products, quantities, shipping information, applicable charges, and total purchase price.

Submitting an order does not necessarily mean that we have accepted it.

We reserve the right to refuse, limit, or cancel an order where reasonably necessary, including in cases involving:

• incorrect pricing or product information;

• suspected fraud or unauthorized transactions;

• product availability;

• shipping restrictions;

• unusually large quantities; or

• errors affecting the order.

If we cancel an order after payment has been processed, the applicable amount will be refunded.

6. PAYMENT

Payment must be made using one of the payment methods available during checkout.

You agree to provide current, complete, and accurate billing and payment information.

By submitting payment information, you represent that you are authorized to use the selected payment method.

Payment processing may be provided by Shopify or third-party payment processors. Their own terms and privacy policies may also apply to transactions processed through their services.

7. ORDER CONFIRMATION

After successfully placing an order, customers will normally receive an electronic order confirmation at the email address provided during checkout.

The confirmation may include information such as:

• products ordered;

• quantities;

• purchase price;

• taxes;

• shipping charges;

• total amount paid;

• shipping or delivery information; and

• customer information.

Customers are responsible for ensuring that the email address and other contact information submitted with the order are accurate.

8. SHIPPING AND DELIVERY

Available shipping methods, shipping charges, and estimated delivery information will be provided during checkout or through our Shipping Policy.

Delivery estimates are estimates only unless expressly stated otherwise.

Delivery times may be affected by weather, courier delays, remote locations, holidays, supply interruptions, or other circumstances outside SilvaChar's reasonable control.

Customers are responsible for providing a complete and accurate delivery address.

9. RETURNS, REFUNDS, AND CANCELLATIONS

Returns, exchanges, cancellations, and refunds are governed by our Refund and Return Policy and applicable consumer protection laws.

Please review the Refund and Return Policy before completing your purchase.

Nothing in these Terms is intended to limit any cancellation, refund, warranty, or other consumer right that cannot legally be excluded or waived.

10. PRODUCT AVAILABILITY

Products may be available in limited quantities.

We reserve the right to limit quantities, discontinue products, modify packaging, introduce replacement products, or change product specifications where reasonably necessary.

We do not guarantee that any product will remain available indefinitely.

11. PROMOTIONS AND DISCOUNT CODES

From time to time, SilvaChar may offer promotions, discount codes, free-shipping offers, bundles, or other special pricing.

Promotions may have specific eligibility requirements, dates, product restrictions, minimum purchase amounts, or other conditions.

Unless expressly stated otherwise, promotions cannot be combined.

We reserve the right to cancel or correct a promotion if it was published as a result of an obvious technical, typographical, or pricing error, subject to applicable law.

12. ACCURACY OF WEBSITE INFORMATION

We work to keep the information on the Site accurate and current. However, information may occasionally contain typographical errors, inaccuracies, or omissions.

We may update or correct information relating to product descriptions, availability, promotions, shipping charges, pricing, or other Site content.

Nothing in this section affects an order already entered into where applicable law prevents such a change.

You may view and use the Site for personal and non-commercial purposes.

You may not reproduce, distribute, modify, republish, sell, or commercially exploit our content without prior written permission from SilvaChar.

15. PROHIBITED USES

You may not use the Site:

• for unlawful purposes;

• to violate applicable laws or regulations;

• to infringe intellectual property rights;

• to submit false or misleading information;

• to transmit malicious software or harmful code;

• to collect information about other users without authorization;

• to interfere with the security or functionality of the Site; or

16. WARRANTIES AND LIMITATION OF LIABILITY

SilvaChar does not guarantee that access to the Site will always be uninterrupted, secure, or error-free.

To the fullest extent permitted by law, SilvaChar will not be liable for indirect, incidental, special, consequential, or similar damages resulting from the use or inability to use the Site or products purchased through the Site.

This includes losses arising from improper product application, failure to follow application instructions, conditions outside SilvaChar's control, or uses for which the product was not intended.

Nothing in these Terms excludes or limits liability where such liability cannot legally be excluded or limited under applicable consumer protection or other laws.

17. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold SilvaChar Environmental Inc., its affiliates, employees, directors, contractors, and service providers harmless from claims or losses resulting from your unlawful use of the Site, violation of these Terms, or infringement of third-party rights.

18. PRIVACY

Your personal information is handled according to our Privacy Policy.

Our Privacy Policy explains how information may be collected, used, stored, and disclosed when you visit our Site or purchase products from us.

19. CHANGES TO THESE TERMS

We may update these Terms periodically to reflect changes to our business, products, website, services, or applicable legal requirements.

The current version will be posted on this page together with the date it was last updated.

Changes will apply prospectively and will not alter completed transactions where doing so would violate applicable law.

These Terms, together with our Privacy Policy, Refund and Return Policy, Shipping Policy, and any other policies referenced during checkout, constitute the agreement between you and SilvaChar relating to your use of the Site and purchases made through it.
